Trade terms and conditions

Villains Rum – Trade Terms & Conditions

These Terms & Conditions apply to all wholesale accounts approved by Adventure Brands Ltd (trading as Villains Rum of York).

1. Account Approval

All trade applications are subject to prior approval by Villains Rum. Submission of an application does not guarantee acceptance. We reserve the right to refuse or terminate any trade account at our sole discretion.

2. Orders & Invoicing

  • The first invoice will be issued on a pro forma basis and must be paid in full before any goods are dispatched or collected.
  • Subsequent orders will be invoiced on 30-day payment terms (net 30), unless otherwise agreed in writing.
  • If a new order is placed before a previous invoice is settled, the outstanding balance must be cleared in full before the new order is released.

3. Delivery & Collection Options

  • Delivery is charged at £12.75 + VAT for orders of 6 bottles (standard case).
  • Shipping insurance is charged at £4.75 + VAT per shipment.
  • Free delivery is available to trade customers within the York ring road (subject to delivery schedule and availability).
  • Trade customers are welcome to collect orders from our shop free of charge (Little Stonegate, York) by prior arrangement.

4. Pricing & RRP

  • All prices are quoted excluding VAT unless otherwise stated.
  • Prices are subject to change. Trade customers will be notified in advance of any adjustments.
  • We encourage retailers to sell our products at the recommended retail price (RRP) to maintain brand value and fairness across our stockists.
  • While we cannot enforce retail prices, we reserve the right to review or suspend trade accounts where products are advertised significantly below RRP online, as this may impact brand integrity and our wholesale relationships.

5. Title & Risk

  • Goods remain the property of Villains Rum until full payment is received.
  • Risk transfers to the buyer upon delivery or collection.

6. Returns & Breakages

  • Please inspect goods upon receipt. Any discrepancies or damages must be reported to us within 48 hours of delivery or collection.
  • Returns are only accepted for faulty or damaged goods, and only when agreed in writing.

7. Use of Branding

  • Approved retailers may use Villains Rum brand assets for promotional purposes, provided they are used accurately and not misleadingly. Please see our brand guidelines and logos HERE
  • Any advertising or use of the Villains Rum name or imagery must be in line with our brand guidelines and must not imply exclusivity unless agreed.

8. General

  • These Terms & Conditions are subject to change at any time. The most current version will be made available upon request and on our website.
  • By placing a trade order, you confirm agreement to these terms.
